Commercial License Terms

These License Terms govern the commercial use of software products provided by Troika Solutions Inc. ("Troika Solutions"), including ReachScale Pro and ResumeShield Pro. A specific product may be accompanied by an order form, product-specific terms, or a separate written agreement; where those exist, they control to the extent they differ from these terms.

1. Grant of License

Subject to your payment of applicable fees and your compliance with these terms, Troika Solutionsgrants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the licensed product for your internal business operations. Unless an order form or written agreement states otherwise, the default license term is one (1) year from activation.

2. Permitted Use

• Use the product for your own business operations.
• Receive priority setup and support for the license term.
• Receive applicable updates released during the term.

3. Restrictions

• No reselling, sublicensing, renting, or redistributing the software.
• No transferring or assigning the license without our prior written consent.
• No reverse engineering, decompiling, or disassembling except as permitted by law.
• No use that violates applicable anti-spam, privacy, or data-protection laws.

4. Responsible Use

Outreach products such as ReachScale Pro must be used for controlled, professional communication using data you are authorized to use. You are responsible for your own compliance with all applicable laws governing electronic communications and the data you process.

5. Fees and Payment

License rights are conditioned on payment of the applicable fees. Fees, billing, and any usage-based components are as stated at the time of purchase or in your order form.

6. Term and Renewal

The license is valid for the stated term. Renewal availability and pricing are provided at or before expiration. Licenses may be suspended or terminated for non-payment or for material breach of these terms.

7. Ownership

Troika Solutions Inc. and its licensors retain all right, title, and interest in and to the software. No rights are granted other than those expressly set out in these terms.
